What a risk flag means

An AI contract review can highlight language that may deserve attention: broad indemnities, one-sided termination rights, automatic renewals, unclear payment triggers or sweeping liability exclusions. It can also point to missing details or conflicting terms.

A flag is not a finding that a clause is illegal or unenforceable. Whether a provision is acceptable depends on the jurisdiction, the transaction, the bargaining position of the parties and the rest of the agreement.

Common issues to look for

Look at who bears the downside if something goes wrong. An indemnity may shift losses to one party; a limitation-of-liability clause may cap recovery; a warranty may create obligations that are difficult to meet. Read these provisions together rather than in isolation.

Also inspect notice periods, renewal dates, exclusivity, intellectual property ownership, confidentiality exceptions and any right to change terms unilaterally. A low-risk clause in one contract may be material in another.

How to review a flagged clause
