Freelance Service Agreement Checklist

A practical list of terms to consider when drafting or reviewing a freelancer–client service agreement.

Define the work

Describe the services, deliverables, deadlines, review rounds and client responsibilities. If requirements might change, define how variations are requested, approved and priced.

A clear statement of work is often more useful than a long generic contract. Consider who supplies materials, who approves drafts and what happens if the client delays feedback.

Set payment expectations

State the currency, deposit, milestone invoices, payment due dates, expenses and consequences of late payment. If the project is cancelled midway, explain how completed work and committed costs are treated.

For recurring work, specify the billing period and whether rates may change. For fixed-price work, clarify what is outside scope.

Protect the relationship

Address confidentiality, use of client materials, ownership or licensing of deliverables, subcontracting and permitted portfolio use. The appropriate intellectual-property terms depend on the nature of the work and local law.

Review dispute resolution, liability allocation, warranties and termination rights. Avoid copying provisions without understanding what obligations they create.

Final review
